This End User License Agreement ("EULA") is a legal agreement between you ("Licensee") and Josh Lord, d/b/a Batchy & Friends ("Licensor") for the use of Batchy software ("Software"). This EULA should be read alongside our Terms of Service.
1. Definitions
- "Software" refers to Batchy, including all updates, patches, and associated documentation.
- "Licensor" refers to Josh Lord, d/b/a Batchy & Friends.
- "Licensee" refers to the individual or entity that has purchased a license to use the Software.
- "Update" refers to new versions released under the same major version number and license system (e.g., version 1.1, 1.2, etc.).
- "User Assets" means audio files, presets, project files, node graphs, settings, metadata, rendered files, processed files, exports, deliverables, asset packs, and other content or files that you import, create, process, save, or export using the Software, excluding the Software itself, Licensor trademarks, documentation, bundled content, and third-party materials you do not own or have rights to use.
2. License Grant
Subject to the terms of this EULA, the Licensor grants you a non-exclusive, perpetual license to use the Software on up to two (2) computers owned or controlled by you at the same time. Your license is cross-platform: a single purchase covers both macOS and Windows. This license includes all point-release updates within the same major version (e.g., 1.x) at no additional cost. Future major versions (e.g., Batchy 2) are separate products and are not included in this license.
3. Activation and Deactivation
Your license may be activated on up to two (2) machines simultaneously. To use on a different machine when both slots are in use, you must first deactivate one of the current activations.
To manage your activations, contact [email protected]. Self-service activation management is planned for a future update.
4. Free Trial
The Software includes a 30-day free trial. On first launch, the Software presents an onboarding screen where you either start the trial by providing an email address and accepting the End User License Agreement, the Terms, and the Privacy Policy, or activate an existing license key. During the trial period, all features are available without restriction. No payment or credit card is required to start or use the trial.
After the trial expires, the Software enters read-only mode: you may open and view presets, preview audio, and explore the node graph, but you cannot export audio files or save presets. Purchasing a license restores full functionality.
5. Internet Connectivity and License Validation
The Software requires periodic internet connectivity to validate your license. Validation occurs approximately once per day while the application is running. If the Software cannot reach the license server for 7 consecutive days, it will enter read-only mode until connectivity is restored and validation succeeds. Your license key and activation are preserved during this period — read-only mode is automatically lifted when the next validation succeeds.
6. License Transfer
The license may not be shared simultaneously between different persons or entities. You may transfer your license to another person or entity by contacting [email protected]. Upon transfer, your own right to use the Software terminates. The new licensee must agree to this EULA.
7. Permitted Use
You may use the Software for both personal and commercial purposes, including in professional studio environments. Both the graphical user interface (GUI) and command-line interface (CLI/headless mode) are covered by your license.
Your User Assets are entirely yours. You may use, copy, modify, perform, publish, distribute, sell, sublicense, license, stream, broadcast, package, and otherwise commercialize User Assets for any lawful purpose, including client work, game audio, film, television, podcasts, music releases, sample libraries, sound packs, stock libraries, and internal production pipelines. You do not owe the Licensor royalties, revenue share, attribution, reporting, or any other permission for User Assets. Your right to commercialize asset packs, sample libraries, sound packs, stock libraries, and similar deliverables applies to User Assets you create, provided they do not extract, redistribute, expose, or repackage bundled content as standalone or substantially standalone assets.
Each machine in an automated pipeline (e.g., render farm) requires its own license.
8. Included Content
The Software may include impulse responses, presets, and other bundled content. This content is licensed for use within the Software, including to create User Assets that you own. The bundled content may not be extracted, redistributed, exposed, repackaged, or sold as standalone or substantially standalone files, sample packs, sound libraries, or similar assets.
9. Third-Party Plugins
The Software supports loading third-party VST3 and Audio Unit plugins. These plugins are developed, licensed, and supported by their respective vendors. The Licensor makes no representations or warranties regarding the functionality, compatibility, stability, or output quality of any third-party plugin. The Licensor shall not be liable for any damage, data loss, audio corruption, or system instability caused by third-party plugin code executing within the Software.
10. Audio Processing and Backups
Audio batch processing involves automated operations that may run without real-time user supervision, especially in CLI/headless mode. The Licensor does not warrant that audio processing will be free from artifacts, distortion, or unintended signal alteration.
The Licensee is responsible for verifying the quality and accuracy of all output files before use in production. The Licensor strongly recommends maintaining backups of all source audio files before batch processing.
The Software is designed to write output to a separate location from source files, but the Licensor does not guarantee against accidental overwriting due to user configuration or system errors.
11. Restrictions
You may not:
- Redistribute, sublicense, rent, lease, or lend the Software
- Reverse engineer, decompile, or disassemble the Software, except to the extent permitted by applicable law
- Modify the Software or create derivative works based on it
- Circumvent or attempt to circumvent the license activation system
12. Intellectual Property
The Software and all associated materials (including code, design, documentation, bundled content, and trademarks) remain the exclusive property of the Licensor. This EULA does not transfer ownership of the Software to you.
The Licensor does not claim ownership, copyright, neighboring rights, publishing rights, master rights, work-made-for-hire rights, royalties, revenue share, lien, or license interest in your User Assets. Using the Software does not make the Licensor an author, co-author, producer, publisher, label, rights holder, or assignee of any User Asset.
You are responsible for ensuring that you have the rights needed for any source material, samples, recordings, presets, plugin output, or third-party content you use with the Software. This EULA does not give you rights in third-party materials that you do not already own or have permission to use.
13. Updates and Discontinuation
Point-release updates (e.g., 1.1, 1.2) are provided free of charge within the same major version. We may release updates at our discretion. We are not obligated to provide any specific features, improvements, or bug fixes. Future major versions (e.g., Batchy 2) are separate products requiring a new purchase.
If the Software is discontinued, your license to use the last available version remains perpetual. If the Software or its intellectual property is transferred to a new entity, your existing license terms shall survive the transfer.
14. Supported Platforms
The Software is officially supported on the platforms listed on our website. Use on unsupported operating systems or hardware configurations is at the Licensee's own risk.
15. Disclaimer of Warranties
The Software is provided "as is" without warranty of any kind, express or implied, including but not limited to the implied warranties of merchantability and fitness for a particular purpose.
Nothing in this agreement affects your statutory rights as a consumer under applicable law in your jurisdiction, including the EU Consumer Rights Directive and the UK Consumer Rights Act 2015.
16. Limitation of Liability
To the maximum extent permitted by applicable law, the Licensor shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Software. The Licensor's total liability shall not exceed the purchase price you paid for the Software.
This limitation does not apply where prohibited by applicable law.
17. Termination
This EULA is effective until terminated. We may terminate this EULA if you violate any of its terms. Upon termination, you must stop using the Software and delete all copies. Your User Assets remain yours regardless of termination, refund, deactivation, or license transfer.
18. Governing Law
This EULA is governed by the laws of the State of Washington, USA.
